Terms of Service

1. Who we are

For purposes of these Terms, “TradeLog Site,” “we,” “us,” and “our” refer to Samone Hinsley, a sole proprietor, operating the TradeLog Site software product. You can contact us at support@tradelogsite.com.

2. Acceptance of terms

By creating an account or using TradeLog Site (the “Service”), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

3. Account responsibility

You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account. Notify us immediately of any unauthorized use.

4. Company / workspace responsibility

The owner of a company workspace is responsible for who they invite, the roles assigned, the data entered, and ensuring that team members have the right to be added. Owners and admins are responsible for billing and for removing members who should no longer have access.

5. Permitted use

TradeLog Site is provided for lawful construction and field-operations use only. You agree not to misuse the Service — including by attempting to bypass access controls, reverse engineer the system, upload malicious content, or use the Service to harass others.

6. Construction & jobsite data disclaimer

TradeLog Site is a record-keeping tool. It is not a safety, compliance, engineering, or payroll system of record. Time entries, notes, tasks, punch list items, reports, and calendar events are inputs created by your team and should be reviewed before being relied upon for legal, regulatory, payroll, or contractual purposes. You are solely responsible for jobsite safety, code compliance, and the accuracy of the data your team records.

7. Subscription terms

TradeLog Site is offered on a subscription basis. By starting a subscription you authorize recurring charges to your payment method until cancelled.

8. Payment processing and Merchant of Record (Paddle)

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle handles subscriptions, invoices, payment processing, sales taxes / VAT, and related customer service inquiries for purchases of TradeLog Site. By subscribing you also agree to the Paddle Checkout Buyer Terms. We do not store full card numbers on our servers; we store only the billing identifiers and metadata returned by Paddle.

9. Free trial

New company workspaces receive a 7-day free trial. During the trial you have full access to TradeLog Site. At the end of the trial, the workspace must be on an active paid subscription to continue using the Service.

10. Pricing

TradeLog Site is offered at $5 USD per month per company workspace, billed through Paddle as the Merchant of Record. Pricing may change with reasonable notice. Questions about these Terms? Email support@tradelogsite.com.

11. Cancellation

You may cancel your subscription at any time from your billing settings. Cancellation stops future renewal charges. Cancellation does not automatically refund past payments — see our Refund Policy.

12. Suspension and termination

We may suspend or terminate accounts that violate these Terms, fail payment, abuse the Service, or pose a security risk. You may also delete your account at any time.

13. Intellectual property and license

The TradeLog Site service, including the software, design, branding, logos, and all related content we provide, is owned by Samone Hinsley, a sole proprietor and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription or trial.

You retain all rights to the content you and your team enter into TradeLog Site (jobs, notes, tasks, time entries, reports, uploads — “Customer Data”). You grant us a limited license to host, process, transmit, back up, and display Customer Data solely as needed to operate, secure, and support the Service for you. You are responsible for having the rights to any Customer Data you submit.

You may not copy, modify, reverse engineer, resell, sublicense, or create derivative works of the Service, and you may not remove or obscure any proprietary notices. Feedback you choose to share with us about TradeLog Site may be used by us without restriction or compensation.

14. Limitation of liability

The Service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, TradeLog Site is not liable for any indirect, incidental, consequential, or punitive damages, or for any lost profits, lost data, or business interruption arising from your use of the Service. Our total aggregate liability will not exceed the amount you paid us in the 12 months before the claim.

15. Changes to these terms

We may update these Terms from time to time. Continued use of the Service after an update constitutes acceptance of the revised Terms.

16. Governing law and jurisdiction

These Terms are governed by the laws of the State of Nebraska, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in Nebraska, United States, and you consent to the personal jurisdiction and venue of those courts.
